1. Ownership & Intellectual Property

All animations, visual assets, and creative works produced by TradesDigital remain the intellectual property of TradesDigital unless explicitly transferred in writing. Usage by third parties- including subsidiaries, affiliates, or partners of the commissioning client- is prohibited without prior written consent and a separate licensing agreement.

2. Usage Rights

Clients are granted a non-exclusive, non-transferable licence to use the delivered assets for internal marketing, product promotion, and trade events, unless otherwise agreed in writing. Any use beyond the original scope – including distribution to third parties or publication on behalf of other entities -requires written approval and may incur additional fees.

3. Portfolio & Attribution

TradesDigital reserves the right to showcase completed work in its portfolio, website, and promotional materials unless explicitly restricted in writing. Attribution or branding may be included in delivered assets unless removal is requested prior to final delivery.

4. Payment Terms

Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may incur interest at 5% per month. Retainer agreements are billed monthly in advance and cover agreed services only; additional work will be quoted separately.

5. Termination & Post-Term Usage

Upon termination of any retainer or service agreement, continued use of delivered assets requires a licensing agreement. TradesDigital reserves the right to revoke usage rights if terms are breached or if assets are used beyond the agreed scope.

6. Confidentiality

All client data, product information, and internal communications are treated as confidential and will not be disclosed without written consent, except where required by law.

7. Liability

TradesDigital is not liable for any indirect, incidental, or consequential damages arising from the use of delivered assets. Clients are responsible for ensuring factual accuracy and compliance with industry regulations.

8. Source Files & Project Assets

TradesDigital delivers final rendered animations or videos in standard formats (e.g., MP4, MOV). Original project files- including but not limited to Blender (.blend), Houdini (.hip), simulation caches, textures, and node networks – are not included in the delivery and remain the sole property of TradesDigital.

Access to source files may be negotiated separately at TradesDigital’s discretion and will incur significant additional fees reflecting the value of the creative process, proprietary techniques, and future reuse potential.
